Basic Agents LLC Terms of Use
This Terms of Use Agreement (“Agreement”) governs your access to and use of the Basic Agents LLC website and mobile application (collectively, the “Services”).

Agreement to Terms:
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must immediately cease using the Services. Your continued use of the Services constitutes acceptance of this Agreement in its entirety.

Failure to adhere to these terms may result in the termination of your access to the Services and any additional remedies available under applicable law.

Limitation of Liability and Recoverable Costs, Fees, and Damages:
In no event shall Basic Agents LLC, its employees, directors, officers, shareholders, agents, affiliates, or representatives be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses, whether incurred directly or indirectly. This limitation of liability applies to any claims arising from or related to your access to, use of, inability to access or use, or reliance upon the Services, regardless of the theory of liability (contract, tort, or otherwise), and even if Basic Agents LLC or its representatives have been advised of the possibility of such damages. This limitation shall apply to the fullest extent as permitted by applicable law in the State of Colorado.
To the fullest extent permitted by Colorado law, Basic Agents LLC, including its employees, directors, officers, shareholders, agents, affiliates, and representatives, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses, whether incurred directly or indirectly, arising from or related to your access to, use of, inability to access or use, or reliance upon the Services, regardless of the theory of liability (contract, tort, or otherwise), even if Basic Agents LLC or its representatives have been advised of the possibility of such damages.
In no event shall the total liability of Basic Agents LLC, including all legal fees, costs, and other expenses, exceed the total amount paid by you for the Services on an annual basis. This limitation reflects the consideration provided in the cost of the Services and is an essential element of the agreement between the parties.

Termination:
We reserve the right to terminate your access to the Services at any time, without notice, and for any reason, including but not limited to your violation of this Agreement, failure to comply with applicable laws or regulations, or conduct that we, in our sole discretion, deem harmful, unlawful, or inconsistent with the operation or intent of the Services. Termination may include disabling your account, restricting your future access, or taking any other actions necessary to protect our rights or the integrity of the Services.

Severability:
If any provision of this agreement or its application to any person or circumstance is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from this agreement, and the remainder of the agreement shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent of the parties, to the extent permitted by Colorado law.

Governing Law and Dispute Resolution:
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, USA. Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the American Arbitration Association’s Commercial Arbitration Rules. The arbitrator shall be chosen by Basic Agents.

Heading and Terms:
The headings in this Agreement are provided solely for organizational and reference purposes and shall not affect the meaning, interpretation, or enforceability of any provisions. Unless otherwise expressly stated, words in the singular include the plural, and words in the plural include the singular. References to any gender, including male, female, or neutral, shall be interpreted as inclusive of all genders and shall carry the same meaning. These linguistic conventions are for simplification and clarity and do not alter the intent or application of this Agreement.
